2. 2. Role and Responsibilities

• • We act as an independent distributor of goods sourced from the Supplier.

• • We are responsible for marketing, sales, customer support, and logistics unless otherwise stated

• • No partnership, joint venture, or agency relationship is created by this distribution.

3. 3. Ordering and Inventory

• • Orders are accepted based on stock availability and confirmation from our Supplier.

• • We reserve the right to reject or cancel any order due to limitations in stock, pricing errors, or breach of terms.

• • Custom orders may require deposits and longer lead times.

5. 5. Shipping and Delivery

• • Delivery timelines depend on supplier lead times and logistics partners.

• • Shipping costs are borne by the customer unless specified.

• • All marketing and advertising must maintain brand integrity and compliance with the Supplier’s guidelines.

8. 8. Liability

• • We are not liable for indirect damages or loss resulting from the use of Products.

• • Our liability is limited to the purchase price of the product.

• • Liability for defective products rests with the Supplier under Philippine law (e.g., RA 7394).

9. 9. Customer Data and Privacy

• • We collect customer data solely for order processing, support, and compliance purposes.

• • We comply with the Data Privacy Act of 2012 (RA 10173).

• • Customer information is not shared with third parties without consent, except for logistics or legal requirements.

10. 10. Governing Law and Dispute Resolution

• • These Terms are governed by the laws of the Republic of the Philippines.

• • Disputes shall be resolved amicably, and failing that, through arbitration under RA 9285.
